Binding Arbitration and Dispute Resolution

Agreement to Arbitrate

You agree that, except for the exceptions described below, any dispute or claim arising out of or relating to your access to or use of the Website, these Terms, or your relationship with Savor the Best, including claims involving our vendors or service providers, will be resolved through binding arbitration rather than in court.

This arbitration requirement does not prevent either party from bringing an individual claim that qualifies for small claims court, provided that the claim remains in small claims court and proceeds only on an individual, non-class, and non-representative basis. Either party may also seek equitable relief in court concerning infringement or misuse of intellectual property rights.

Any claim subject to this section must be commenced within one year after the dispute giving rise to the claim arises, to the extent permitted by applicable law. Otherwise, the claim is barred.

This Arbitration Agreement applies to claims arising or asserted before or after the effective date of these Terms to the fullest extent permitted by applicable law.

The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.

Informal Dispute Resolution

Before initiating arbitration, you must provide written notice describing the dispute. The notice must include your name and contact information, the nature and basis of your claim, relevant facts and dates, and the relief you are requesting.

After notice is received, you and Savor the Best agree to attempt in good faith to resolve the dispute informally for at least 30 days before arbitration is initiated.

Arbitration Process

If the dispute cannot be resolved informally within 30 days, either party may initiate arbitration with JAMS.

Claims and counterclaims below $250,000, excluding attorneys’ fees and interest, will be governed by the then-current JAMS Streamlined Arbitration Rules and Procedures. Other claims will be governed by the then-current JAMS Comprehensive Arbitration Rules and Procedures.

If JAMS is unavailable to administer the arbitration, the parties will select another mutually acceptable arbitration provider.

The arbitration may be conducted remotely, on written submissions, or in person at a mutually agreed location, as permitted by the applicable arbitration rules.

Judgment upon an arbitration award may be entered in any court having jurisdiction.

Arbitration Fees

If the arbitrator determines that you cannot afford the applicable JAMS filing, administrative, hearing, or other arbitration fees and you are unable to obtain a waiver from JAMS, Savor the Best will pay those fees.

If the arbitrator determines that a claim is frivolous, attorneys’ fees and costs may be awarded to the extent permitted by applicable law.

Authority of the Arbitrator

The arbitrator will have authority to resolve disputes concerning the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including disputes concerning whether any portion of it is void or unenforceable, except where applicable law requires a court to decide a particular issue.

The arbitrator may award monetary damages and other relief available to an individual under applicable law and the applicable arbitration rules.

The arbitrator will issue a written decision stating the essential findings and conclusions supporting the award. The arbitrator’s decision will be final and binding, subject to any review permitted under applicable law.

Waiver of Jury Trial

To the fullest extent permitted by applicable law, you and Savor the Best waive the right to have disputes covered by this Arbitration Agreement decided in court by a judge or jury.

Arbitration does not involve a judge or jury, and judicial review of an arbitration award is limited.

Waiver of Class and Consolidated Actions

Except as provided under the Batch Arbitration provision below, claims covered by this Arbitration Agreement must be brought on an individual basis and not as a plaintiff or class member in a class, collective, consolidated, or representative proceeding.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim.

If this waiver is determined to be invalid or unenforceable with respect to a particular claim or request for relief, that claim or request for relief will proceed in court to the extent required by applicable law.

Batch Arbitration

If 50 or more substantially similar individual arbitration demands are submitted against Savor the Best or parties covered by this Arbitration Agreement within approximately 30 days or otherwise in close proximity, the similar demands may be administered by JAMS collectively as a single batch proceeding when permitted by JAMS rules and applicable law.

If administering all such claims together would be impracticable or inequitable, substantially similar demands may instead be grouped into batches of at least 20 matters, with an additional batch for any remaining matters, or grouped in another manner determined by the arbitrator to be fair and practicable.

The parties agree to cooperate in good faith with JAMS in administering substantially similar claims efficiently.

For purposes of this provision, claims are substantially similar when they arise from the same or similar events or factual circumstances, raise the same or similar legal issues, and seek the same or similar relief.

Nothing in this Batch Arbitration provision authorizes class arbitration or collective proceedings other than the limited batch procedures described above.

Severability

If any portion of this Arbitration Agreement is determined to be invalid or unenforceable, that portion will be severed to the extent permitted by applicable law and the remaining provisions will continue in effect, except as otherwise expressly provided in these Terms.

Survival

This Arbitration Agreement survives termination of your use of or relationship with the Website.

Changes to the Arbitration Agreement

If Savor the Best makes a material change to this Arbitration Agreement in the future, the change will not apply to an individual claim for which you provided written notice before the effective date of that change.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SAVOR THE BEST AND ITS OWNERS, AFFILIATES, VENDORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE WEBSITE OR ITS CONTENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF SAVOR THE BEST ARISING OUT OF OR RELATING TO THE WEBSITE, ITS CONTENT, OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY, INCLUDING CONTRACT, WARRANTY, STATUTE, TORT, NEGLIGENCE, OR OTHERWISE, WHETHER OR NOT SAVOR THE BEST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not permit certain exclusions or limitations of liability. In those jurisdictions, these limitations apply only to the fullest extent permitted by applicable law.

Changes to These Terms

We may update these Terms periodically to reflect changes to the Website, our practices, applicable law, or other circumstances.

Changes become effective when the revised Terms are posted unless otherwise stated.
